Terms of Service

These Terms of Service ("Terms") govern your access to and use of the placement.solutions platform ("Service"), operated by Cestone AI ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Service description

placement.solutions is a software-as-a-service platform that enables recruiting agencies to scrape client career pages, parse and store candidate resumes, run AI-powered candidate-to-job matching, manage recruiting pipelines, send sequenced outreach, and track placements. Specific features available depend on your subscription tier.

2. Account & eligibility

To use the Service you must be at least 18 years old and authorized to enter into agreements on behalf of your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Fees, billing, and refunds

Paid plans are billed monthly or annually in advance. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice; changes apply to the next billing cycle. Free-tier accounts are provided as-is and may be modified or discontinued at any time.

4. Customer data

You retain all rights to data you upload to the Service, including resumes, candidate information, client records, and pipeline data ("Customer Data"). You grant us a limited license to process Customer Data solely to operate, maintain, and improve the Service for you. We will not sell Customer Data or use it to train third-party AI models.

You are responsible for ensuring you have the legal right to upload and process Customer Data, including all candidate consents required by applicable law (GDPR, CCPA, etc.).

5. Acceptable use

You agree not to: (a) use the Service to scrape or process any website or candidate data in violation of that site's terms or applicable law; (b) attempt to reverse-engineer, decompile, or circumvent any security or access control of the Service; (c) use the Service to send spam, phishing, or other unsolicited communications; (d) resell, sublicense, or white-label the Service except under an enterprise plan that explicitly permits this.

6. Intellectual property

All Service software, models, designs, and documentation are owned by Cestone AI and protected by copyright. We grant you a non-exclusive, non-transferable license to use the Service while your account is in good standing.

7. Termination

You may cancel your subscription at any time from your account settings. We may suspend or terminate your account if you materially breach these Terms. Upon termination you may export Customer Data for 30 days; afterwards we may delete it.

8. Warranty disclaimer & liability

The Service is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenues, arising from your use of the Service. Our aggregate liability for any claim shall not exceed the fees paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Cestone AI from any claims arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.

10. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Travis County, Texas.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
