Terms of Service

These Terms of Service ("Terms") govern your access to and use of the placement.solutions platform (the "Service"), operated by CestoneAI Holdings LLC, a Maryland, USA limited liability company that also does business as the recruiting agency "Placement Solutions" ("we," "us," "our," or "Company"). Please read them carefully. They include important provisions that limit our liability, place obligations on you, require disputes to be resolved through binding individual arbitration, and explain that the text you submit is processed by international AI providers, including one based in China.

1. Acceptance & eligibility

By creating an account, checking the "I agree to placement.solutions Terms and Privacy" box, uploading a resume, or otherwise using the Service, you accept and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. You represent that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you use the Service for an organization, you represent that you are authorized to bind that organization, and "you" includes that organization. If you do not agree to these Terms, you may not use the Service.

2. Definitions

"Services" (or "Service") means the placement.solutions platform, including the paid recruiter, agency, and employer application at placement.solutions/app and the free job-seeker portal at portal.placement.solutions, together with all features, APIs, and white-label offerings. "User" or "you" means any person or entity that accesses the Services. A "Job Seeker" is a User who uploads their own resume through the free portal to receive AI job matches and apply to listings. A "Recruiter" or "Employer" is a User who accesses candidate data, search, outreach, or hiring-workflow features. "Candidate Data" means resume content and related personal information about a job seeker or candidate, whether uploaded by that person or by a Recruiter. "Credits" means the prepaid units of platform usage, purchased in packs or included with a Subscription, that are consumed per action. "Subscription" means a recurring paid plan (for example, Solo, Boutique, or Practice). "AI Providers" (or "AI subprocessors") means the third-party and self-hosted AI services we use to process content, identified in Section 9 and our Privacy Policy. "Your Content" means the resume and other data you submit.

3. Description of the Service

The Service has two parts: (1) a paid subscription and prepaid-credit platform at placement.solutions/app for recruiters, agencies, and employers; and (2) a free job-seeker portal at portal.placement.solutions where seekers upload a resume to receive AI-generated job matches and apply to listings. The Service uses artificial intelligence to parse resumes, build a structured candidate profile, classify candidate type (for example, attorney, paralegal, legal staff, or IT), estimate candidate-job fit with a written explanation, and generate outreach drafts. Job listings are aggregated and scraped from public sources and client career pages. We may add, change, suspend, or discontinue any feature of the Service at any time.

4. AI matching is assistive and informational only — no guarantee of any outcome

The Service's AI features are decision-support tools only. The AI produces estimates such as a numeric hire-probability score, role-fit, level-fit, and skills-fit scores, and short written commentary. By design these are probabilistic predictions of hireability at a hypothetical employer, not statements of fact, professional advice, or assurances; the written commentary is an internal estimate, not a representation about any person.

We make no guarantee of any placement, hire, interview, callback, response, or any other outcome, and no guarantee that any score, ranking, profile classification, candidate-type label, bar-admission inference, salary inference, or written explanation is accurate, complete, current, or free from error or bias. All hiring, screening, interviewing, and employment decisions are made solely by you in your own independent judgment. You are solely responsible for those decisions and for complying with all laws that apply to them, including anti-discrimination and fair-hiring laws. You must independently verify any candidate, listing, or AI output before relying on it.

5. Accuracy of job listings and aggregated data

Job listings are collected automatically from public sources and from client-supplied career pages. We do not control them and do not independently verify them. Listings may be inaccurate, incomplete, duplicated, mis-located, expired, filled, or removed, and the appearance of a listing on the Service is not an endorsement of, or a representation about, any employer or position. You should confirm the details, status, and legitimacy of any role directly with the relevant employer before relying on it or applying. We are not a party to, and are not responsible for, any application, communication, interview, or employment relationship between you and any employer.

6. Job seeker obligations — you own and have rights to your resume

Job Seekers represent and warrant that any resume or information they upload is their own or that they otherwise hold all rights necessary to submit it and to have it processed as described in these Terms and the Privacy Policy, including processing by the AI Providers described in Section 9. You must not upload another person's data through the free portal as if it were your own, and you must not submit content that infringes any third party's rights or is otherwise unlawful.

7. Recruiter & employer obligations and lawful basis for candidate data

Recruiters, agencies, and employers represent and warrant that, for any third-party Candidate Data they upload, view, source, or process through the Service, they have a lawful basis and any consent or notice required by applicable law, and that they will use such data only for legitimate recruiting purposes. When you upload or source candidate data, you act as an independent controller of that data and are responsible for your own compliance obligations toward those candidates. You agree not to upload data you are contractually or legally barred from sharing, and you will indemnify us for claims arising from data you had no right to submit (Section 18).

8. Acceptable use & security conduct

You agree not to:

We may investigate and take action, including suspension or termination, for suspected violations, and we may suspend or terminate access that we reasonably believe threatens the security or availability of the Service or other users' data. If you discover a security vulnerability, please report it to hunter@placement.solutions rather than exploiting or publicly disclosing it.

9. AI subprocessors and international data transfer (China)

By using the Service you acknowledge and agree that the text of resumes and job content you submit is transmitted to third-party AI Providers that we use to parse resumes, build candidate profiles, classify candidate type, score candidate-job fit with written reasoning, and generate outreach. The AI Provider that currently performs primary match-scoring and reasoning is Moonshot AI (the "Kimi" models), which is based in and processes data in China. This means the text you submit — which may include your name, contact details, work history, education, skills, salary information, security-clearance status, and other resume content — may be processed on servers outside the United States, including in China, which may not provide the same level of data-protection rights as your home jurisdiction. Other AI Providers we use or may use as alternates or for specific features include OpenAI and Anthropic (for parsing, scoring, and reasoning) and AssemblyAI (for the optional interview-transcription "Scribe" feature). We also operate a self-hosted model (Ollama) on our own servers; that model does not transmit your data to a third party.

If you upload another person's data (for example, a Recruiter uploading a candidate's resume), you represent that you have a lawful basis and any consent required to have that data processed by these international AI Providers, including the China-based provider. Do not submit information you are not permitted to send abroad. Because there is currently no adequacy decision recognizing China for personal data under GDPR or UK data-protection law, Users subject to those regimes should assess whether this transfer is permissible before submitting data. Full details are in our Privacy Policy.

10. Subscriptions, credits & billing

Paid plans are offered as recurring Subscriptions and as one-time prepaid Credit packs, at the prices shown at checkout and processed by our payment processor, Stripe. All prices are in U.S. dollars and are exclusive of taxes unless otherwise noted.

Subscription plans and auto-renewal

Subscriptions are billed monthly in advance and currently include Solo ($29/month, 5,000 credits/month, 1 seat), Boutique ($129/month, 25,000 credits/month, 5 seats), and Practice ($689/month, 100,000 credits/month, 25 seats), along with legacy, API, and white-label tiers shown at checkout. Each Subscription automatically renews at the then-current price until you cancel, and you authorize us, through Stripe, to charge your payment method on each renewal date. The monthly credit allotment resets at the start of each billing cycle and does not roll over across months.

Free trials

We may offer a free trial on eligible paid plans (currently a 7-day free trial). A valid payment method is required and is collected at signup. Unless you cancel before the trial ends, your payment method will be automatically charged the then-current plan price at the end of the trial period, and the Subscription will then auto-renew as described above. You may cancel at any time before the trial ends, at no charge, through the in-app billing portal (Stripe Customer Portal). One trial per customer; trials do not apply to renewals or Credit packs. This is a negative-option offer: if you take no action before the trial ends, you will be billed.

Job-seeker Pro+ subscription

The free job-seeker portal also offers an optional paid upgrade, Candidate Pro+, an auto-renewing subscription (currently $2.00 per week) that unlocks additional tailored-resume and AI features beyond the free allowance. A payment method is collected via Stripe and the subscription auto-renews weekly until cancelled. You may cancel at any time through the billing portal; cancellation stops future renewals and access continues through the end of the current paid period. The free portal itself remains usable without Pro+.

Professional Recruiter Resume Consult

We may offer a one-time Professional Recruiter Resume Consult (currently $19.99 USD), a human-delivered resume-review service separate from the free portal and from any Subscription. When you purchase it, you agree to provide your current resume and target roles so our recruiting staff can perform the review (your resume content is received by our staff, including by email, as described in our Privacy Policy), and we will return a revised version within the turnaround stated at checkout (currently three (3) business days). This service does not include any guarantee of an interview, offer, or other outcome (consistent with Section 4); it provides a human resume review and revision plus ongoing guidance through your interview and offer stages.

Prepaid credit packs

You may also purchase one-time prepaid Credit packs: 5,000 credits for $5.99, 10,000 for $9.99, 15,000 for $13.99, and 100,000 for $49.99. Credit packs are processed as a single, non-recurring charge through Stripe and are delivered immediately as digital goods. Credits have no cash value, are not redeemable for money, and are not transferable between accounts.

How AI match credits are metered and consumed

Credits are consumed per action, and certain actions cost more than others. A fresh AI candidate match is metered to the actual third-party AI compute cost incurred for that match, multiplied by three (3x), where 1 credit equals $0.001 of metered cost, subject to a minimum of 5 credits per fresh match; cached or repeat matches that incur little or no new AI compute are charged a small fixed amount. The price you pay to purchase a Credit may differ from the metered value of a Credit when it is consumed; these are different measures, both disclosed in your account. Because each match runs live AI computation, credit consumption is final once a billable action is executed, and consumed credits are not refundable or reversible even if the results are not useful to you. We may adjust the multiplier, per-credit value, action costs, minimums, plan features, and credit allotments on a going-forward basis, with notice as described in Section 11. Your current plan, remaining balance, and billing status are shown in your in-app account and billing pages.

Cancellation, non-payment & downgrade

You may cancel a Subscription at any time through the in-app billing portal (Stripe Customer Portal) or by contacting us at hunter@placement.solutions. Cancellation stops future renewals; your plan remains active through the end of the current paid billing period, after which your account is downgraded to the Free tier with no further charges. We do not provide prorated refunds for a billing period already begun. If a renewal payment fails or your Subscription becomes past due, we may downgrade your account to the Free tier and suspend paid features until payment is made. You acknowledge that on downgrade your credit balance is reset to the Free-tier allotment, and any larger remaining balance — including separately purchased prepaid-pack credits pooled into your balance — may be lost. We recommend using purchased credits before cancelling or downgrading.

11. Refunds, chargebacks, taxes & price changes

Refunds

Except where required by applicable law, all fees and prepaid Credits are non-refundable, and we do not issue cash refunds. Prepaid Credit packs are consumable digital goods that you can begin using immediately, so all Credit purchases are final once delivered, except where a refund is required by law. If we determine in our discretion that a billing error occurred or that Credits were charged in error due to a verified platform malfunction, your sole and exclusive remedy is a re-credit of the affected Credits or a comparable service replacement, not a monetary refund. Promotional or bonus Credits may expire or be revoked and carry no cash value. Nothing in this section limits any statutory consumer rights that cannot be waived.

Boutique 60-day pilot guarantee

Where we offer a pilot or satisfaction commitment for a specific plan, the terms of that commitment are stated at the point of sale and govern any relief. The Boutique plan is offered with a 60-day pilot guarantee: if, within the first sixty (60) days of your initial Boutique Subscription, you are not satisfied and have used the platform in good faith, you may contact us at hunter@placement.solutions to request relief. This guarantee applies only to the initial Boutique term and only to a first-time Boutique subscriber (one per customer); it does not extend to other plan tiers, renewal periods, or one-time Credit-pack purchases. This is the only outcome-related assurance we offer; consistent with Section 4, we make no guarantee of any hire, placement, interview, or other recruiting result.

Chargebacks and disputed payments

If you believe a charge is incorrect, contact us at hunter@placement.solutions first so we can investigate, and notify us within sixty (60) days of the charge or activity, except where a longer period is required by law; otherwise the charge and related credit consumption are deemed accepted. Initiating a chargeback or payment dispute with your bank or card issuer without first contacting us is a breach of these Terms. While a chargeback or dispute is pending, or if one is resolved against us, we may suspend or terminate your account, revoke or freeze associated or unused Credits, and decline further service, and you agree to reimburse us for reasonable costs we incur responding to a chargeback later found invalid.

Taxes

You are solely responsible for any sales, use, value-added, goods-and-services, or other taxes, levies, or duties imposed by any taxing authority in connection with your purchase, other than taxes based on our net income. Where we are required to collect such taxes, they will be added to your charge at checkout or on your invoice.

Price changes

We may change Subscription prices, Credit-pack prices, credit costs per action, plan features, and credit allotments at any time. For active Subscriptions, any price increase takes effect on a future renewal, and we will provide advance notice through the platform or by email before it applies; your continued use or non-cancellation after the effective date constitutes acceptance of the new price. Price changes do not affect Credit packs you have already purchased; newly purchased packs and newly metered actions are governed by the prices in effect at the time of purchase or use.

12. Free job-seeker portal — no purchase required

The job-seeker portal at portal.placement.solutions is provided free of charge. Job Seekers are not required to create a paid account, purchase Credits, or provide any payment information to upload a resume and receive AI job matches, and no Subscription, credit charge, or auto-renewal applies to the free portal itself (the optional Candidate Pro+ upgrade and the one-time Resume Consult described in Section 10 are separate, paid options). AI-assisted features in the free portal (such as AI bullet rewrite and Fix-All) are offered subject to per-session and daily usage limits and to a free-account requirement after a limited number of free uses, and may be temporarily unavailable at capacity. To keep the service available, free-portal usage is subject to reasonable rate limits (including limits on uploads per time window and a maximum resume file size) and to fair-use restrictions; we may throttle, limit, or suspend access that exceeds these limits or that we reasonably believe is abusive or automated.

13. Intellectual property & license you grant us

As between you and us, you retain all ownership of Your Content. You grant CestoneAI Holdings LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit to the AI Providers described in Section 9, create embeddings and derived profiles from, and otherwise use Your Content as needed to operate, secure, support, and improve the Service and to provide it to you and, for Recruiter accounts, to your authorized users. We and our licensors own all rights in the Service software, models, prompts, scoring logic, user interfaces, and any aggregated, de-identified, or statistical data we derive from use of the Service; nothing in these Terms transfers those rights to you. We grant you a non-exclusive, non-transferable license to use the Service while your account is in good standing.

14. Security measures and disclaimer

We protect your data with commercially reasonable safeguards, including encryption of data in transit using TLS/HTTPS, storage of account passwords only in salted, hashed form (newer accounts use the Argon2 key-derivation function) so that we cannot read your password, authenticated session tokens with expiration, role- and tenant-scoped access controls so that one customer cannot read another's data, and rate limiting and bot-protection on public upload endpoints. No method of transmission or storage is perfectly secure, however, so we cannot and do not guarantee absolute security, and, to the extent permitted by law, you use the Service at your own risk. You are responsible for safeguarding your own login credentials, API keys, and session tokens, and for all activity under your account.

15. Privacy & cookies

Our collection and use of personal information, including resume content and behavioral data, and our use of the AI Providers in Section 9, are described in our Privacy Policy. The Service uses cookies and similar technologies, including an authentication cookie and usage analytics; these are described in our Cookie Policy. Your use of the Service is also subject to the analytics, measurement, and advertising practices described in the Privacy Policy and Cookie Policy, including Google Analytics measurement and any advertising pixels described there. By using the Service you agree to the practices described in those policies, which are incorporated into these Terms by reference.

You may close your account at any time, including through your in-app account settings. When you delete your account, we apply a soft-delete with a recovery window of approximately thirty (30) days, during which the account and associated resume and client records are flagged for deletion and may be restored; after that they are removed in the ordinary course, except where we must retain certain records to comply with law, resolve disputes, or enforce these Terms. For security reasons, administrator and operator (god/admin) accounts cannot be self-deleted and must be handled by contacting us.

16. Disclaimer of warranties (AS-IS)

THE SERVICE, INCLUDING ALL AI OUTPUTS, SCORES, PROFILES, MATCHES, AND JOB LISTINGS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER CESTONEAI HOLDINGS LLC NOR ITS OFFICERS, MEMBERS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, OR EMPLOYMENT DECISIONS MADE IN RELIANCE ON THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU ACTUALLY PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100). For free-portal users who pay nothing, our aggregate liability is limited to USD 100. These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

18. Indemnification

You will defend, indemnify, and hold harmless CestoneAI Holdings LLC and its officers, members, and employees from and against any third-party claims, damages, liabilities, and reasonable costs and attorneys' fees arising out of or relating to: (a) Your Content or any data you upload; (b) your breach of these Terms or your representations and warranties, including your lawful-basis and consent obligations for third-party Candidate Data; (c) your use of the Service or of any AI output or job listing; or (d) your violation of any law or any third party's rights. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

19. Term, suspension & termination

These Terms apply for as long as you use the Service. You may stop using the Service and cancel a Subscription at any time as described in Section 10. Cancellation stops future renewals but does not entitle you to a refund of fees already paid or unused prepaid Credits, except as required by law, and consumed Credits are not restored. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure, or for any other lawful reason. Termination does not relieve you of payment obligations accrued before termination. Sections that by their nature should survive termination — including Definitions, the AI matching and job-listings disclaimers, intellectual property, disclaimers of warranties, limitation of liability, indemnification, governing law and dispute resolution, and the general provisions — will survive.

20. Governing law, informal resolution, binding arbitration & class-action waiver

These Terms are governed by the laws of the State of Maryland, USA, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first send a written notice describing the dispute to hunter@placement.solutions and to attempt in good faith to resolve it informally for at least 30 days. If the dispute is not resolved, you and we agree that it will be settled by final and binding individual arbitration administered under the rules of a recognized arbitration provider, seated in Maryland, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief to protect intellectual property. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. If this class-action waiver is held unenforceable as to a particular claim, that claim will proceed in court rather than arbitration.

21. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date and provide reasonable notice, where appropriate by email or in-product notice before the changes take effect. Your continued use of the Service after the updated effective date constitutes acceptance of the revised Terms. Prior versions are superseded as of each new effective date.

22. General provisions

These Terms, together with the Privacy Policy, the Cookie Policy, and any order or plan terms you accept, are the entire agreement between you and CestoneAI Holdings LLC regarding the Service and supersede all prior understandings on that subject. If any provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will stay in full force. Our failure to enforce any right or provision is not a waiver of that right, and no waiver is effective unless in writing. You may not assign or transfer these Terms without our prior written consent, while we may assign them to an affiliate or in connection with a merger, financing, or sale of assets. Section headings are for convenience only and do not affect interpretation.

Force majeure. We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or hosting-provider outages, failures or rate limits of third-party AI Providers, denial-of-service attacks, governmental action, or changes in law. This section does not excuse your obligation to pay amounts already due.

Notices. We may provide notices to you by email to the address associated with your account, by posting within the Service, or by updating these Terms; it is your responsibility to keep your account email current so that you receive billing, security, and legal notices. Notices to us must be sent to hunter@placement.solutions.
