Overview of the Function The Corporate Paralegal is responsible for assisting attorneys through all phases of corporate transactions. Role summary/purpose of job The Corporate Paralegal will work closely with attorneys in the Finance, Mergers and Acquisitions , Capital Markets and Funds practice areas. The individual will also have, or will quickly develop, the foresight to anticipate and respond to the needs of the attorneys, the clients and/or the matter as necessary. Key responsibilities and deliverables Assist with transaction closings; maintain files and checklists, compile closing documents, and create closing sets Prepare and coordinate execution of signature pages Coordinate requests for good standings and certified copies Assist with due diligence investigations and document reviews On-line research of legal and non-legal data Liase with outside service providers Draft and file entity formations, amendments, qualifications and dissolutions in various jurisdictions Proofread documents, including definitions and cross-reference checks Help with development of practice resources and other special projects Key requirements Bachelor’s degree required 0-1 years of experience Ability to work under pressure and coordinate multiple activities in a fast-paced environment Capacity to meet deadlines Must be able to work independently and collaborate with local and international teams Ability to problem solve and take initiative Excellent organizational skills and attention to detail Strong ability to conduct and organize research Ability to communicate professionally with colleagues and clients Flexibility to work overtime hours and be available as needed, including nights and weekends on short notice Ensure confidentiality of Firm and client information The Paralegal program is designed to last about 2 years, candidates should be prepared to remain for the duration of the 2 year program For individuals assigned and/or hired to work in New York and California, Freshfields is required by law to include a reasonable estimate of the compensation range for this role. This compensation range is specific to the States of New York and California and takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled, and compensation decisions are dependent on the facts and circumstances of each case.
