Summary The Paralegal drafts corporate documents, interacts with clients, prepares and compiles documentation necessary to form domestic and international entities (corporations, limited liability companies and partnerships), maintains minute books, bylaws, articles of incorporation, resolutions, amendments and related corporate documents, verifies filings with the Secretary of State and other governmental agencies, assists with legalization and authentication of documents and the apostille process. There is a high degree of freedom to act independently when necessary and as specified by the attorneys. Location This position is located in our New York office and offers a hybrid work schedule. Responsibilities Complete and maintain organizational documentation necessary to form business entities for corporations, limited liability companies and partnerships (including articles of incorporation, bylaws, meeting minutes, client new entity forms, etc.) Assist with corporate documents and qualification of corporations to do business in foreign jurisdictions Establish a tracker system for all corporate matters such as signature requests and client follow-ups Assist with major projects, such as acquisitions, financings and sales Interact with registered agents and service companies Facilitate corporate filings with registered agent, Secretary of State and other state and governmental agencies Correspond/coordinate with local counsel regarding entity formations Prepare SS-4 applications and obtain U.S. Employer Identification Numbers Process dissolutions of U.S. and Non-U.S. entities (in conjunction with local counsel) Manage client compliance process for collecting Know Your Customer diligence and related items Communicate daily with institutional clients and their operating partners Draft operating agreements, consents and officer/director certificates Manage domestic and international corporate/minute books and share certificates Assist with legalization, authentication and apostille process for documents at the State Department and embassies Supervise client support specialist Orders, reviews, and analyzes title commitments, recorded documents, and surveys. Desired Skills Must have strong skills in Word, Excel and Outlook. Position is responsible for handling substantive projects and cases under the direction of a lawyer. Has in-depth knowledge of practice area and generally performs with little supervision. Excellent verbal, written and interpersonal skills required to interact with staff, paralegals, attorneys and clients on a daily basis.
