Transactional / M&A Attorney

The successful candidate will work closely with well-regarded business and transactional law partners in a growing and busy law practice in one of top legal corridors in the United States (Washington-Baltimore), and will receive a great deal of responsibility, including client contact, with tremendous opportunity for personal and professional growth. The ideal candidate is a seasoned practitioner who possesses the following skills and experience: Five or more years of experience in business/commercial transactions, including complex mergers and acquisitions (M&A). Structuring and negotiating a variety of transaction types, with an understanding of the tax implications of each type. Experience in private equity, private securities offerings (including for employees and investors), and venture capital experience is a plus. Excellent drafting skills, particularly with respect to correspondence, purchase agreements and related documents. Team focused and hard-working professional, with a strong work ethic. Excellent communication skills and ability to manage client relationships. Portable practice is a plus, but not required. Must be a member of the Maryland Bar (Virginia, D.C., and other Mid-Atlantic states a plus).
