Holland & Knight LLP is seeking an International Trade Group Associate for its New York, NY office. Job duties: Advise clients on regulatory aspects of inbound and outbound investments and assist with trade due diligence, utilizing experience in cross-border mergers and acquisitions. Counsel clients on trade-related restructuring of foreign manufacturing processes, supply chains, and broader business operations to mitigate exposure to U.S. duties and tariffs, utilizing experience of managing and guiding cross-border legal teams across EMEA and LATAM regions during large-scale business spin-offs and reorganizations. Advise clients on sanctions risks associated with business activities in Russia and the occupied regions of Ukraine, including analysis of applicable U.S., EU, and Ukrainian sanctions regulations and review and analysis of counterparties’ documentation and communications from relevant jurisdictions. Apply transactional and contract law expertise to address foreign direct investment considerations in deal documentation, ensuring compliance with international investment regulations. Support clients in the space sector, leveraging experience with global satellite system projects and ITU regulations. Job Requirements: Must have a Juris Doctor (J.D.) or LL.M degree from a U.S. law school and two years’ experience as an Associate, Jr. Associate or related occupation providing legal guidance on cross-border mergers and acquisitions, inbound and outbound investments, and trade due diligence. Must have two years of experience with the following: Working with U.S., EU, and Ukrainian sanctions laws, including advising on compliance issues related to sanctioned territories, in particular, temporary occupied regions of Ukraine. Managing and guiding cross-border legal teams across EMEA and LATAM regions during large-scale business spin-offs and reorganizations. Advising on various aspects of cross-border M&A transactions, including structuring acquisitions, drafting and negotiating transactional documents and conducting regulatory due diligence. Advising on export control, technology transfer, and the application of international arrangements such as the Wassenaar Arrangement. Advising and supporting clients in the space sector by overseeing the implementation of global satellite system projects, ensuring compliance with International Telecommunication Union (ITU) regulations. Advising clients on structuring business operations, licensing requirements for doing business in certain sectors, providing market entry advice, and drafting relevant corporate documents. Must be licensed to practice law in the state of New York or Washington, D.C. 10% international and 10% domestic. Remote work allowed 2 days per week. Salary: $310,000.00.
