Reed Smith LLP seeks a Mid-Level Associate in Pittsburgh, PA to conduct diligence on employee benefit and executive compensation plans and agreements in the context of a transaction and advise clients on material red flags, including drafting due diligence reports. Requires a Juris Doctor or equivalent and two (2) years of experience drafting legal documents, including amendments, restatements, and summary plan descriptions for pension, 401(k), and health and welfare plans (ERISA wrap plans and IRC Code Section 125 Plans); drafting due diligence reports, purchase agreements and ancillary agreements, employment contracts and other transaction related documents on matters pertaining to corporate law and employee benefits and executive compensation; advising clients on drafting and implementation of cash and cash-based incentive programs, equity and equity-based awards including stock option and restricted stock plans, and other transaction related incentive programs, including retention, change in control and severance plans or agreements for private companies; assisting clients with the evaluation and administration of retirement and health and welfare plans, including the preparation of plan documents, summary plan descriptions, amendments, and corrective filings under applicable government correction programs; conducting diligence on clients’ target entities and applicable employee benefit and executive compensation plans, programs and agreements and summarizing diligence materials; preparing filings under IRS correction program; preparing IRS qualified plan determination letter filings; and advising clients regarding material developments in law related to qualified retirement plans and health and welfare plans, to ensure compliance. Must be admitted to practice law in the State of Pennsylvania. Telecommuting and/or working from home may be permissible pursuant to company policies.
