Tonkon Torp LLP, a prominent, full-service business law firm in Portland, Oregon, is seeking an associate attorney with 1 to 2 years of experience to join our Business Department. The candidate will report to the Business Department Co-Chairs. The qualified candidate will have the following skills: • Familiarity working on transaction documents including NDAs, term sheets/LOIs, purchase agreements, ancillary documents, and closing deliverables. • Conducted due diligence, including reviewing corporate records, contracts, capitalization tables, and other key documents. • Assisted with managing deal processes, including timelines, document management, and closing checklists. • Drafted corporate governance documents, including board and shareholder consents, and officer certificates. • Familiarity with entity structures. • Supported partners and senior associates on general business and corporate matters. • Strong research and analytical skills, with an ability to interpret and apply complex legal concepts. • Strong written and oral communication skills, with the ability to explain complex legal concepts to clients and colleagues. • Ability to manage multiple matters and deadlines in a fast-paced environment. • Client service mindset and team oriented. • Strong organizational skills. • Attention to detail. Qualifications Required: • J.D. from an accredited law school. • Admitted and in good standing with the Oregon bar (or eligible to obtain admission promptly). • 1–2 years of relevant experience in a law firm setting, preferably with a focus on corporate transactions and/or M&A. • Business-minded with an interest in understanding clients’ industries and goals. • High level of professionalism and integrity. • Commitment to high-quality work and client service. • Curiosity and enthusiasm for new challenges.
