New York, New York Job Description Associate – Capital Markets Pillsbury’s Corporate & Securities Business Unit is seeking a highly motivated mid-level associate with substantial capital markets and SEC/public company reporting and corporate governance experience to join our Capital Markets/Public Companies (CAPM) team. This position is expected to be based in our New York office; exceptional candidates in our Silicon Valley office will be considered. This role offers significant opportunities for hands-on deal execution, client interaction, and professional growth within our Capital Markets practice, including with respect to debt, equity, and convertible debt/equity-linked transactions. Position Overview: Our Capital Markets team is seeking a mid-level associate who can bridge the gap between junior associates and senior attorneys. This role is intended to strengthen mid-level coverage and support efficient deal execution across the team. The ideal candidate will be able to step into active transactions and independently manage day-to-day execution with minimal supervision and demonstrate leadership potential. This associate will take ownership of deal workstreams, proactively drive transactions forward, and coordinate across internal and external stakeholders. This role will play an important part in maintaining continuity quality across active matters and supporting delivering high quality work product across active matters to support sustained deal flow within the practice, while collaborating closely with senior attorneys who provide strategic guidance and mentorship. Responsibilities: Lead and manage day-to-day execution of capital markets transactions, including with respect to debt, equity, and convertible debt/equity-linked transactions Draft and review offering documents, including registration statements, prospectuses, underwriting agreements, and related filings Coordinate due diligence processes and manage transaction timelines Advise clients on securities law reporting, compliance, and disclosure requirements and SEC reporting and corporate governance matters Take ownership of key deal workstreams and proactively drive transactions forward Collaborate with partners, senior associates, and cross-functional teams across offices Communicate effectively with clients, underwriters, and opposing counsel Qualifications: Juris Doctor (J.D.) from an ABA accredited law school 3 - 5 years of relevant capital markets experience, ideally at an Am Law 100 firm Repeat experience with public securities offerings, including with respect to debt, equity, and convertible debt/equity-linked transactions Strong working knowledge of U.S. securities laws, stock exchange matters, and regulatory frameworks Hands-on experience with debt, equity, and convertible debt/equity linked transactions Experience representing both issuers and underwriters Demonstrated ability to independently manage substantial components of transactions and run day-to-day execut
